1. Acceptance of Terms

By accessing or using damiandzik.com (the “Site”), you agree to be bound by these Terms & Conditions. If you do not agree, please do not use the Site.

2. Services

Damian Dzik provides web development, web design, SEO/GEO, website maintenance, and consulting services. Specific terms for each project are outlined in a separate contract or statement of work agreed upon by both parties.

3. Portfolio Rights

I retain the right to display any work I create in my professional portfolio, including on damiandzik.com, social media, and other marketing materials, unless a separate non-disclosure agreement (NDA) is signed before work begins.

If you leave my hosting and maintenance services, you bear full responsibility for rebuilding the site or arranging alternative hosting. I am not obligated to provide site files, database exports, or any project assets after the project is complete and all invoices have been settled, though I will do so upon request as a courtesy.

4. Deposits & Payments

A 30% non-refundable deposit is required before any work begins. This deposit secures your slot in my schedule and covers the initial discovery, planning, and design phase. The deposit is non-refundable because I allocate time and resources specifically for your project from the moment it is booked.

The remaining balance is due upon completion of the project, before the site goes live or final files are delivered. Payment schedules for larger projects may be structured in milestones (e.g., 30% deposit, 30% on design approval, 30% on development completion, 10% on launch), as agreed in the project contract.

All payments are to be made via bank transfer, Revolut, or as otherwise agreed in writing. Invoices are due within 14 days of issuance unless otherwise stated.

5. Delays & Abandoned Projects

If a project is not completed or launched within 12 months of the start date due to client inaction (failure to provide content, feedback, approvals, or any required materials), the full project balance becomes due and payable immediately.

Project delays caused by the client may incur additional charges at my standard hourly rate. I will notify you in writing before any delay-related charges apply.

If a project is cancelled or abandoned by the client after work has begun, the client is responsible for payment for all work completed up to the point of cancellation, plus any non-refundable deposits already paid. Abandoned projects (no communication from the client for 60 days or more) will be treated as cancelled.

6. Third-Party Services & Licenses

Your project may incorporate third-party tools, platforms, services, or licensed assets (e.g., hosting, domains, stock images, fonts, SaaS tools, CMS licenses, SSL certificates). These are governed by their own terms and conditions.

All third-party licenses, subscriptions, and recurring fees must be purchased and paid for directly by you, the client. I do not handle payments for third-party services on your behalf. This avoids any interruption to your service if payments lapse and ensures you maintain direct control over your accounts.

I am not responsible for the uptime, security, data loss, or policies of any third-party service. I will assist you in setting up these services as part of the project, but ongoing management and payment are your responsibility.

7. Intellectual Property

All content on this Site, including text, graphics, logos, and code, is the property of Damian Dzik unless otherwise stated. You may not reproduce, distribute, or modify any content without prior written consent.

Upon full payment for a project, the client receives full ownership of the delivered website code and assets, excluding any third-party libraries or tools used under their respective licenses. Code ownership transfers only after all invoices have been paid in full.

8. Client Responsibilities

As a client, you agree to:

  • Provide accurate and timely information required for the project.
  • Review and provide feedback within agreed timeframes.
  • Make timely payments as outlined in the project agreement.
  • Obtain and pay for all necessary third-party licenses and subscriptions.

9. Indemnification

You agree to indemnify, defend, and hold harmless Damian Dzik from and against any and all claims, liabilities, damages, losses, costs, or expenses (including reasonable legal fees) arising out of or related to:

  • Your use of the Site or services.
  • Your violation of these Terms.
  • Your violation of any third-party rights, including intellectual property rights.
  • Any content or materials you provide for inclusion in a project.
  • Your failure to pay for or maintain third-party services, licenses, or subscriptions.

10. Limitation of Liability

Damian Dzik shall not be liable for any indirect, incidental, special, consequential, or exemplary damages, including but not limited to damages for loss of profits, goodwill, use, data, or other intangible losses, arising from the use or inability to use the services provided.

Total liability is limited to the amount paid for the specific service giving rise to the claim. No claim may be brought more than 12 months after the date of the event giving rise to the claim.

11. Changes to Terms

I reserve the right to update these terms at any time. Changes will be posted on this page with an updated date. Continued use of the Site after changes constitutes acceptance of the new terms.

12. Governing Law

These terms are governed by the laws of Ireland. Any disputes shall be resolved in the courts of Waterford, Ireland.
